Nokia Gets Antitrust Approval For Intellisync Buy
WASHINGTON -(Dow Jones)- Finnish telecommunications equipment maker Nokia Corp. received antitrust clearance from the Federal Trade Commission to buy Intellisync Corp.
The agency said Wednesday it granted early termination Tuesday of the waiting period required under the Hart-Scott-Rodino Antitrust Improvements Act.
Under the terms of the agreement, Intellisync stockholders will receive $5.25 per share in cash for each common share, implying an enterprise value of about $430 million on a fully diluted basis.
The transaction is expected to be completed in the first quarter of 2006.
